Northrow SEIS & EIS

Helping companies achieve SEIS and EIS Advance Assurance.

Northrow specialises exclusively in SEIS & EIS Advance Assurance — helping early-stage UK companies secure HMRC clearance before raising investment, so investors can rely on the tax relief with confidence.

Fixed fees. Defined scope. No surprises.

Trusted by founders, accountants and advisers across multiple SEIS applications.

What We Do

We handle the SEIS/EIS Advanced Assurance process end-to-end, including:

  • • Initial eligibility assessment

  • • Review of the company’s trade and growth plans

  • • Preparation of the HMRC narrative and supporting documents

  • • Submission of the Advanced Assurance application

  • • Guidance on structure, share classes, and investor communication

  • • Liaising with HMRC until the final decision

Our scope is deliberately narrow.
We focus on one outcome: securing HMRC clearance with minimal risk.

When Do You Need SEIS Advance Assurance?

Most founders apply for SEIS Advance Assurance when they are preparing to raise angel investment and investors require confirmation that the company qualifies for SEIS tax relief.Advance Assurance gives investors confidence that HMRC accepts the company’s eligibility before capital is raised.

You may need SEIS Advance Assurance if:

  • • You are preparing to raise your first round of investment

  • • Investors have asked for SEIS eligibility confirmation

  • • You want HMRC clearance before issuing shares

  • • Your accountant or solicitor has recommended obtaining Advance Assurance

Can founders qualify too?

Often, yes — and many don't realise it.A common misconception is that SEIS and EIS relief is only available to outside investors. In reality, founders can qualify for tax relief on their own investment provided they hold less than 30% of the company at the time of investment. In businesses with multiple co-founders — where equity is split relatively evenly — each founder may qualify individually. We secured combined SEIS & EIS advance assurance for a four-director franchise business, with all four qualifying for relief simultaneously. That delivered £125,000 in tax relief across the founding team.If you're a founder who has invested — or plans to invest — in your own company, it's worth checking whether you qualify before your next raise.

Who We Work With

  • Founders raising angel capital under SEIS or EIS

  • Accountants and fractional CFOs seeking specialist SEIS/EIS support

  • Franchise founders raising capital for new locations

  • Angel-backed startups where tax relief is critical to closing a round

  • Solicitors who want eligibility risk addressed before documentation

Most engagements are first-time raises, but we also support follow-on rounds where structure needs to be future-proofed.

What We Don't Do

To keep risk low and outcomes clear, we do not provide:

  • General tax advice

  • Fundraising strategy or investor introductions

  • Legal drafting or company secretarial services

  • Ongoing advisory retainers

This allows us to remain focused, efficient, and accountable for the HMRC process itself.

How It Works

Three steps to HMRC clearanceStep 1 — Free eligibility call
Book a short call. We'll assess whether your company and raise are structured correctly for SEIS or EIS — at no cost, with no obligation. If it's not the right route for you, we'll tell you straight away.
Step 2 — Fixed-fee engagement
If you proceed, we agree scope and fees upfront. No hourly billing. No scope creep. You'll know exactly what you're getting and when.
Step 3 — Submission and clearance
We prepare your HMRC narrative, handle the submission, and manage any follow-up directly with HMRC until a decision is reached.

How Engagements Work

  • Fixed-fee engagements

  • Defined scope agreed upfront

  • Clear timelines (typically 2–4 weeks, subject to HMRC)

  • Direct point of contact throughout the process

Where a company is not suitable for SEIS or EIS, we will say so early.

Working with Professional Advisors

Northrow acts as a specialist SEIS/EIS partner for accountants, solicitors and corporate advisers who prefer not to handle Advanced Assurance submissions internally.

  • We own the SEIS/EIS eligibility and HMRC narrative

  • You retain control of the wider client relationship

  • Clear lines of responsibility reduce downstream risk

Advisers refer to us because our specialist focus reduces their liability and streamlines HMRC submissions, while they retain the client relationship.
